Milan-listed Matica Fintec signed a 24 million euros binding agreement for acquiring Panini, an Italian IT company, from Seta Holding (a platform in which also invested Stoneweg), Sandro Camilleri and other shareholders (see here a previous post by BeBeez). Matica Fintec retained Fineurop Soditic, Bird & Bird, Nexia Audirevi, and Intermonte. Seta retained J. Hirsch & Co. Management and Consulting. In 2020, Seta acquired Panini for one euro and purchased the company’s 27.6 million UTPs from MPS Capital Services, AMCO and UBI Banca (now part of Intesa SanPaolo) (see here the 2019-2023 business plan available for the subscribers to BeBeez News Premium and BeBeez Private Data). Greywall Capital Partners, a company that Filippo Belvederi and Marco Masucci lead, acquired the former Milan headquarter of Connexia in Via Panizza (see here a previous post by BeBeez). EY Studio Legale Tributario assisted the investors that will convert in residential units the 3300 sqms asset that acquired through a securitization that NEXA spv carried on with the issuance of asset backed notes. Jones Day advised Banco BPM that provided the mortgage for purchasing and refurbishing the building and also acquired the senior notes. NEXA retained Studio Legale Bartyan. Grewall Capital subscribed the junior notes. Milano Notai acted as public notary.
Top Network, an Italian ICT company, paid 2.8 million euros for acquiring the assets of Italian competitor Advanced Global Solution (AGS) a firm in receivership (see here the restructuring plan available for the subscribers to BeBeez News Premium and BeBeez Private Data) that belongs to Oscar Padrin and Stefano Padrin (see here a previous post by BeBeez). Gianfranco Muliari and Michele Petriello are acting as extraordinary administrators. Topnetwork retained Studio Legale Cicala – Riccioni & Partners and Studio Giordano & Partners. AGS received assistance from Elexia – Avvocati & Commercialisti. Notaio Vincenzo Papi acted as public notary. Franco Celletti is the ceo of TopNetwork, which is part of French private equity Smart4 Engineering (SM4), a fund that Cyril Roger created and that Carlo Torino heads in Italy.
