Sale of the Company mentioned above, namely the “The acquisition, administration, sale of shares in companies based and operating in Italy or abroad for stable investment purposes and not as brokers towards the public “;
1) The sale includes all movable assets as listed in the papers which can be viewed, as indicated in the Notice of Sale, by accessing the “virtual data room”.
CONDITIONS AND TERMS OF SALE
For lot N ° 1 AZ the opening auction price is € 1,500,000.00; the lot consists of two Company Businesses: the “O&M” COMPANY BRANCH, subject to a business rental contract, to which reference can be made for the negotiation details, consisting of goodwill, brands, know-how, customer relations and current commercial contracts, movable capital goods and all tangible assets used as listed analytically in the documentation provided by the Applicant Company, which holds responsibility towards the successful bidder for the level of detail and preciseness of the list, published in the “virtual data room”; and the “EPC” COMPANY BRANCH which comprises movable capital goods, the references of the Enerray company, the name Enerray associated with the term EPC, goodwill, brands, know-how, customer relations as indicated analytically in the documentation provided by the Company party to the pre-Bankruptcy Agreement, which holds responsibility towards the successful bidder for the level of detail and preciseness of the list, published in the “virtual data room”.
Increases made by bidders shall not be less than Euro 20,000.00
Method of payment: Maximum deadline for payment is 60 days from the award.
Given the complexity of the transfer procedures and the obligations associated with the award, bidders are invited to carefully read the Notice of Sale to which reference can be made for any further information.
Bidders, except the debtor and all subjects not legally admitted to the sale, are to file their application for participation in the auction by noon of the last working day preceding that of the auction, with the Ufficio di coordinamento per le procedure esecutive, fallimentari e di divisione delegate ai notai il Tribunale di Bologna (Office for the Coordination of Enforcement, Bankruptcy and Division Proceedings delegated to Notaries, Law Court of Bologna) Via Farini n. 1; the application shall include a stamp duty plus receipt of payment made to the current account indicated by the Applicant: Banca della Valsabbina Via Giorgio Ercolani, 3, 40122 Bologna BO, Iban: IT80G0511602400000000004432, for an amount equal to 20% of the price proposed by said bidder as security.
