Milan-listed Garofalo Health Care (GHC), a firm whose main shareholder is Maria Laura Garofalo, acquired elderly care asset Casa di Cura Malatesta Novello and its 6600 sqms precincts (see here a previous post by BeBeez). The deal’s enterprise value is of 69.3 million euros and the equity value amounts to 76 million. GHC will finance the transaction with banking loans and its own resources. The buyer also completed an Amend & Increase of a 275 million financing contract of 2024 (130 million banking facilities, a 50 million bond, an up to 70 million Capex line, and a revolving item of 25 million). The Milan-listed bond that CDP, F2i, Anima Alternative, Mediolanum Gestione Fondi, and Arca subscribed remained unchanged. The Capex line increased to 100 million. UniCredit, Banco BPM, BNL BNP Paribas, Monte dei Paschi di Siena, Intesa Sanpaolo, Crédit Agricole, and CDP provided such resources. GHC retained Mediobanca, KPMG, Carbonetti e Associati, AEGV Servizi, and PwC Legal STA. Hogan Lovells Cadwalader assisted the lenders. Studio Ferracini Associati advised Casa di Cura Malatesta Novello which previously belonged to Amedeo Piancastelli (33.33%), Fiorella Monopoli (11.12%), Isabella Serantini (11.11%), Viola Serantini (11.11%), Mario Ferretti (7.41%), Caterina Forti (5.56%), and Edoardo Forti (5.56%). GHC directors are Guido Dalla Rosa Prati (chairman), Maria Laura Garofalo and Alessandra Rinaldi Garofalo. Valentina Valentini will keep her role as ceo of Malatesta Novello. The new financial capacity that GHC secured through the Amend & Increase transaction also leaves scope for further transactions as the company now has a 100 million Capex facility for M&A and organic growth whilst maintaining a pro-forma consolidated leverage ratio of less than 3.5X.
Core Stack, part of Gruppo Lazzari, and Green Arrow Capital drew up the first Italian project for a distributed network of 13 medium-sized data centres, with an investment pipeline exceeding one billion euros over the next four years (see here a previous post by BeBeez). The first two sites will develop in the Cremona and Verona areas. Anna Lazzari is the chairwoman of Core Stack and ceo of Gruppo Lazzari that retained VEM Sistemi, MCA – Mario Cucinella Architects and Lombardini22. Eugenio de Blasio and Daniele Camponeschi are the founders of Green Arrow Capital.
Hotel Villa Diodoro di Taormina, a luxury asset that belongs to Gruppo Barletta through Arsenale, received a 77 million euros financing from UniCredit (see here a previous post by BeBeez). Hogan Lovells Cadwalader advised the borrower which will invest such resources in refinancing the debt relating to the acquisition of the asset and the redevelopment project that will transform the historic four-star hotel into a five-star luxury. Gianni&Origoni assisted UniCredit. Paolo Barletta heads the eponymous group.
Castello’s Rome Hotel Development Fund and IHG Hotels & Resorts signed an agreement for developing a Kimpton luxury asset that will open in 2029 in the iconic area of via Veneto and piazza Barberini (see here a previous post by BeBeez). Rome Hotel Development Fund’s sole investor is 1AM Rome Prime Real Estate Development Fund, part of Lithuania’s 1 Asset Management which has a 40 million euros fundraising target and a five-year tenure. Willemijn Geels is the vice president Development Europe of IHG Hotels & Resorts. Giampiero Schiavo is the ceo of Castello. Tomas Langaitis is a fund partner of 1 Asset Management while Luca Tomesani Melotti is a principal
Seraco, an Italian real estate company that belongs to the Ruffolo Family, carried on a 26 million euros securitization for the regeneration and subsequent sale, by 2031, of nine residential properties that may generate sales of above 30 million (see here a previous post by BeBeez). Seraco Real Estate SPV issued the notes that Guber Banca, Solution Bank (senior tranches) and Seraco (mezzanine and junior) acquired. Centotrenta Servicing acted as servicer, corporate servicer, calculation agent, and representative of noteholders. Francesco Ruffolo is the ceo of Seraco which retained Legance and Studio Perlini Dottori Commercialisti Associati.
Guber Banca provided Impresa Fama Costruzioni Generali and Ilinvit with a 7 million euros financing for supporting Villa Melusina, a high-end residential regeneration project in Como’s Via Bonardi (see here a previous post by BeBeez). The borrowers aim to develop five residential units of 210 – 421 sqms with Como Lake view whose price is of 2.855 – 6.426 million. Sotheby’s International Realty and Knight Frank are handling such sales. Augusto Fauci and Saverio Mazzù founded Impresa Fama Costruzioni Generali. Benyamin Hakimian (ceo) and Elior Siyoni (business development manager) head Ilinvit. Francesco Guarneri and Gianluigi Bertini founded Guber in 1991.
Invimit attracted seven expressions of interest worth above 1.7 billion euros for the management of its fund that will invest in real estate assets that have tenancy agreements with public authorities (see here a previous post by BeBeez).
