Cotonificio Albini joined the basket bond programme of Cassa Depositi e Prestiti, Mediocredito Centrale and Gruppo Sella and issued a 6-year 5 million euros bond (see here a previous post by BeBeez). The programme’s issuances are now worth a total of 120 million that financed the plans for growth and sustainable development of 14 Italian SMEs. Cotonificio Albini retained Sella Investment Banking and will invest the raised proceeds to cover part of the capital expenditure set out in the company’s business plan. DoNext, Chiomenti and Cerved ESG Ratings acted as deal advisor. The Cotonificio Albini bond issuance has an integrated financial structure incorporating sustainability-linked mechanisms and collateral. The loan provides for the identification of specific sustainability parameters (ESG KPIs) designed to monitor environmental and social objectives. The achievement of such targets triggers a downward adjustment of the interest rate applied (step-down). A non-possessory pledge established over the textile products held at the Gandino logistics hub are a security for the loan. This clause allows the company to dispose of and sell the assets during its ordinary business, whilst maintaining a predetermined minimum ratio between the value of the goods pledged as security and the outstanding debt for the entire duration of the security. Anchor investors Cassa Depositi e Prestiti and Mediocredito Centrale subscribed 40% each of the notes that SBB SPV issued while Banca Sella purchased 20%. Milan-listed Kruso Kapital carried on a securitization of a pledge credits portfolio worth 80 million euros while Credito Lombardo Veneto (Paolo Gesa ceo) acquired the senior notes with a 15 million face value (see here a previous post by BeBeez). The transaction has a 24-months revolving structure and K2 SPV reimburses only the interest on the issued securities, whilst the principal that the debtors repay finances the purchase of new receivables to maintain the underlying portfolio at a constant level of 80 million. UniCredit Bank acted as sole arranger and placement agent and retained Jones Day, Banca Finint as servicer, calculation agent, corporate servicer and representative of noteholders, Bank of New York Mellon as account bank and paying agent. The 36-months senior tranche of 60 million attracted the resources of institutional investors. KrusoKapital purchased the 20 million worth junior and mezzanine notes. Carlo Di Pierro is the chief financial officer of Kruso Kapital.
