Angelini Pharma, part of Angelini Industries, announced the closing for the take private from New York’s Nasdaq of Catalyst Pharmaceuticals on the ground of a 3.5 billion euros (4.1 billion US Dollars) equity value (see here a previous post by BeBeez). Blackstone will invest one billion euros in Angelini Pharma preferred equity while CDP Equity will purchase 23.5% of the Italian company through the subscription of a billion euros capital increase. BNP Paribas, Intesa Sanpaolo, Mediobanca, Banco BPM, UniCredit, Crédit Agricole CIB, Bank of America, ING, Natixis, Barclays, BBVA, Cassa Depositi e Prestiti, and other firms provided financial support for the transaction. Angelini Pharma retained Centerview Partners, Morgan Stanley, Hogan Lovells, Cadwalader, and Gatti Pavesi Bianchi Ludovici. CDP Equity received assistance from Goldman Sachs, PwC, Clifford Chance, and LEK Consulting. The directors of Milan-listed Recordati said that they consider fair the 51,29 euros per share on the ground of ab equity value of above 10.69 billion euros take private offer that CVC Capital Partners and Groupe Bruxelles Lambert (GBL) reportedly launched on the company (see here a previous post by BeBeez). The shareholders can tender to the offer between 31 August and 15 October, Friday and Thursday. Sonnedix, an independent producer of renewable energy that belongs to JP Morgan Asset Management and other investors, said it acquired from Sphera Energy a 260 MW portfolio of Battery Energy Storage Systems (BESS) based in Tuscania (Viterbo area) (see here a previous post by BeBeez). RYZE (fka Yard Reaas), a real estate advisory and property management firm that belongs to AnaCap since April 2024, signed an agreement for acquiring Spain’s competitor Krata Sociedad de Tasación upon receiving the authorization of Banco de España (see here a previous post by BeBeez). RYZE reportedly signed a partnership with Paris-listed Tikehau Capital that will provide acquisition financing facilities. BeBeez data say that RYZE directors decided to issue a non-convertible secured PIK bond worth up to 80 million euros and maturing in 2033 (see here the meeting notes available for the subscribers to BeBeez News Premium and BeBeez Private Data). The at par issued bond pays a coupon amounting to the Euribor rate plus an initial margin of 5.25%, which may fluctuate between 4.75% and 6% depending on the company’s level of net leverage. A pledge over RYZE’s shares that parent company Axe Bidco provide, assignments of intra-group receivables, and a pledge over the relevant securities account that may add following the dematerialisation of the shares are the collateral for the bonds. Banca Finanziaria Internazionale acts as the bondholders’ representative, Aether Financial Services as guarantees representative. Ryze will also invest part of such proceeds in refinancing its liabilities. Milan-listed Smart Capital’s Smart4Mechanics signed an agreement for acquiring 40% of Cavalli Elettroerosioni from Cavalli Arturo & C (see here a previous post by BeBeez). ITA Defence, an even joint venture of Streparava and Castellini that chairman Paolo Streparava and ceo Giuseppe Castellini head, will have 60% of the asset. Milan-listed Smart Capital and VSL Investment & Advisory said they will act as anchor investors and pour 2 million euros each in the capital increase that Guidotti Ships will launch ahead of a listing on the Italian market (see here a previous post by BeBeez).
