Global law firm White & Case LLP has advised e-commerce group ABOUT YOU Holding SE on the conclusion of a business combination agreement with online multi-brand fashion retailer Zalando SE and public takeover offer by Zalando.
To implement the business combination, Zalando intends to make a voluntary public takeover offer to the ABOUT YOU shareholders to acquire all shares in return for a cash consideration of €6.50 per share. The total transaction value will amount to approximately €1.1 billion.
The major shareholders and all three founders and members of the management board of ABOUT YOU have irrevocably committed to sell all shares in the company at the offer price. The consummation of the offer is subject to customary closing conditions and is expected in summer 2025.
