NYSE-listed Investindustrial’s Spac cashes 402.5 mln $ from investors

Investindustrial Acquisition Corp, la Spac sponsorizzata da Investindustrial e quotata al NYSE dallo scorso 19 novembre, ha chiuso il collocamento raggiungendo quota 402,5 milioni di dollari di raccolta dagli investitori, dopo che è stata esercitata integralmente l’opzione di overallotment (si veda qui il comunicato stampa).

Dato che Investindustrial con un forward purchase agreement si è impegnata ad acquistare sino a 25 milioni di azioni della Spac al prezzo di 10 dollari per azione per un totale massimo di 250 milioni di dollari in un’operazione di private placement che si chiuderà contestualmente al closing della business combination (si veda altro articolo di BeBeez), allora la dimensione totale della Spac potrà quindi raggiungere 652,5 milioni di dollari.

La quotazione, come noto, riguardava 35 milioni di azioni, vendute al prezzo di 10 dollari ciascuna, per un totale di 350 milioni di dollari, con un’opzione per aumentare l’offerta appunto fino a 402 milioni di dollari nel caso di una domanda elevata da parte degli investitori (si veda qui l’ultimo filing alla Sec). A ogni tre azioni ordinarie è associato un warrant che dà diritto ad acquistare azioni della Spac al prezzo di 11,50 dollari l’una. La chiusura dell’offerta è avvenuta lo scorso  23 novembre. Joint bookrunner dell’operazione sono Deutsche Bank Securities e Goldman Sachs.

L’obiettivo della nuova Spac è acquisire una società target che abbia un enterprise value compreso tra 1 e 5 miliardi di dollari, con particolare attenzione ai settori Consumer, Healthcare, Industrial and Technology e principalmente alle medie imprese europee. Le target saranno quotate al Nyse attraverso una business combination.

La Spac di Investindustrial è presieduta da Sergio Ermotti. A guidare la Spac è l’amministratore delegato Roberto Ardagna, mentre il cfo è Andrea Cicero. Entrambi sono da anni manager di Investindustrial. Membri del consiglio di amminisitrazione sono anche Dante Roscini, ex top banker di Morgan Stanley e Merrill Lynch e oggi professore di finanza ad Harvard; Michael Karangelen, ex TowerBrook Capital Partners; Teensie Whelan, docente alla NYU Stern School of Business.
