Lifting Control Holding, a company of Investindustrial and the Fassi Family, issued 450 million euros worth Luxembourg-listed Senior Secured Floating Rate Notes maturing in 2033 and paying a floating coupon linked to the 3M Euribor (see here a previous post by BeBeez). The issuance received a B+ rating from Fitch and B from Standard & Poor’s. The company also attracted a super senior revolving credit facility of 85 million. The company will invest such proceeds in refinancing Fassi’s 97 million worth liabilities, reimburse a vendor loan of 228 million that attracted in 2024, paying a 75 million dividend and carrying on three bolt-on acquisitions for 43 million. The remaining 12 million will finance the transactions costs. Banca Akros, BNP Paribas, Crédit Agricole CIB, Intesa Sanpaolo, Mediobanca, Natixis, UBS, and UniCredit supported Lifting control for the deal. Duferco Energia fetched 83 million euros through a Schuldschein senior unsecured private placement in two tranches respectively maturing in three and five years (see here a previous post by BeBeez). A diversified pool of international banks supported the company for the placement while UniCredit actes as sole arranger and paying agent. Chiomenti assisted Duferco. Schuldschein is a German law debt instrument for private placement with professional investors, its structure lies halfway between a bank loan and a bond and corporate issuers use it to broaden their base of lenders.
Hotel Villa Diodoro di Taormina, a luxury asset that belongs to Gruppo Barletta through Arsenale, received a 77 million euros financing from UniCredit (see here a previous post by BeBeez). Hogan Lovells Cadwalader advised the borrower which will invest such resources in refinancing the debt relating to the acquisition of the asset and the redevelopment project that will transform the historic four-star hotel into a five-star luxury. Gianni&Origoni assisted UniCredit. Paolo Barletta heads the eponymous group.
Seraco, an Italian real estate company that belongs to the Ruffolo Family, carried on a 26 million euros securitization for the regeneration and subsequent sale, by 2031, of nine residential properties that may generate sales of above 30 million (see here a previous post by BeBeez). Seraco Real Estate SPV issued the notes that Guber Banca, Solution Bank (senior tranches) and Seraco (mezzanine and junior) acquired. Centotrenta Servicing acted as servicer, corporate servicer, calculation agent, and representative of noteholders. Francesco Ruffolo is the ceo of Seraco which retained Legance and Studio Perlini Dottori Commercialisti Associati.
Apollon Bridge, a structured finance boutique firm that Matteo Tommasini heads, launched Prime Flow, an operational framework involving the non-recourse purchase of Italian SMEs’ trade receivables of up to a maximum of 10 million euros on a revolving basis with payment terms of 30, 60 and 90 days (see here a previous post by BeBeez). The portfolio may renew between three and four times a year, amounting to up to 40 million. Apollon will transfer the purchased loans to a Special Purpose Vehicle that received a 10 million loan from Banca Popolare di Sassari, sources said to BeBeez. Apollon Bridge belongs to Hermes Capital Holding (65%), RedFish Capital (20%), a firm that Paolo Pescetto and Andrea Rossotti founded, Sol Kin Dar (10%) and Hps Holding (5%).
Guber Banca provided Impresa Fama Costruzioni Generali and Ilinvit with a 7 million euros financing for supporting Villa Melusina, a high-end residential regeneration project in Como’s Via Bonardi (see here a previous post by BeBeez). The borrowers aim to develop five residential units of 210 – 421 sqms with Como Lake view whose price is of 2.855 – 6.426 million. Sotheby’s International Realty and Knight Frank are handling such sales. Augusto Fauci and Saverio Mazzù founded Impresa Fama Costruzioni Generali. Benyamin Hakimian (ceo) and Elior Siyoni (business development manager) head Ilinvit. Francesco Guarneri and Gianluigi Bertini founded Guber in 1991.
Telebit attracted a financing facility from UniCredit, BNL BNP Paribas, Crédit Agricole Italia, Banca Monte dei Paschi di Siena, and Volksbank (see here a previous post by BeBeez). The company will invest such proceeds in the requalification of its current liabilities and its investment programmes. Telebit retained Ethica Group while the lenders received assistance from Gianni&Origoni. Giovanni Quarta is the ceo of Telebit that belongs to TH (95%, a vehicle of which chairman Giovanni Quarta has 57.14% and Marcello Raimondi, AlbertoRaimondi and SilvioRaimondi have 42.86%) and Pierluigi Pastore (5%).
