Tersis Technologies has signed a non-binding Memorandum of Understanding (MoU) with Flux Core Data Systems and Energy to combine Tersis’ waste-to-energy generation with Flux Core’s decentralized data center infrastructure.

Under the terms of the agreement, Flux Core will act as a preferred deployment partner for data center and compute infrastructure at Tersis’ project sites, while Tersis will serve as a preferred on-site energy partner for Flux Core deployments.

The companies said they intend to engineer generation, cooling, and compute together at each site rather than retrofitting an existing facility.

The agreements framework covers site identification and screening, permitting and interconnection strategy, project development, community engagement, and responses to grants and solicitations.

The companies said that they now plan to review a shared pipeline of candidate sites on a regular basis and advance selected opportunities into project-level agreements. Potential markets include municipal, industrial, institutional, defense, rural, and edge-computing applications, alongside enterprise and AI customers looking for capacity outside constrained data center regions.

Tersis’ SynGenic V3 platform works by converting waste feedstocks into power and recovered products on-site. The company claims that the technology delivers baseload-capable generation, with a capacity of between 10-30MW per site.

Flux Core’s decentralized data center solution is designed to arrive pre-configured, scale incrementally with demand, and support off-grid and renewable power integration, with the option to relocate units when required.

The companies said the arrangement is intended to address power availability rather than compute capacity as the binding constraint on AI infrastructure growth, directly citing interconnection queues and transmission constraints that have delayed conventional grid-connected projects by several years.

“This relationship creates a practical pathway for matching distributed power production with the growing demand for flexible, high-performance computing infrastructure,” said Antonio Uccello, CEO of Tersis Technologies. “By pairing SynGenic V3 with decentralized data-center deployments, we intend to evaluate projects that can convert suitable waste feedstocks into useful on-site energy while supporting resilient, sustainable AI compute closer to where it is needed.”

“The industry does not have a compute problem so much as a power and timeline problem,” said Reginald York, co-founder and CEO of Flux Core. “Together, we can evaluate opportunities to shorten deployment schedules, add sustainable AI compute in increments the grid can absorb, and create integrated solutions for customers seeking greater flexibility and energy resilience.”

Headquartered in Brooksville, Florida, Tersis is an environmental innovation and clean-technology company that focuses on converting industrial and municipal waste into energy. According to the company, it has a pipeline of 120-180MW.

Based out of Los Angeles, California, Flux Core is a developer of modular, solar, and battery-powered distributed data centers. The company claims to have deployments in California, Texas, Arizona, Nevada, Florida, North Carolina, and Georgia.
