White & Case advises Smiths on £1.3 Billion proposed sale of Smiths Interconnect to Molex

Global law firm White & Case LLP has advised Smiths Group plc (Smiths), the UK-based industrial technology company and a member of the FTSE 100, on the proposed sale of its Smiths Interconnect division to Molex Electronic Technologies Holdings, LLC (Molex), a Koch company, for an enterprise value of £1.3 billion.

White & Case became an extension of Smiths’ legal team, led by General Counsel James Down and Associate General Counsel, Nicholas Falconer, and the Interconnect General Counsel, Josh Harvey. Together, the team leveraged White & Case’s depth and global reach across a broad scope of services including M&A, separation, competition, foreign direct investment, international tax, and a raft of specialist technical support across areas including real estate, employment, IP and regulatory compliance.

White & Case has a longstanding relationship with Smiths, having also advised on its previous divisional disposal, the sale of Smiths Medical for an enterprise value of $2.7bn in 2021.

White & Case advised Smiths on all aspects of the transaction.
