Ambienta will buy 70% of the Italian IT company Namirial based on a valuation of around 150 million euros, Mergermarket writes. The fund was holding exclusive talks since earlier this month (see here a previous article by BeBeez). The founders Enrico Giacomelli (vice chairman) and Claudio Gabellini (chairman), who own 50% of the share capital, will therefore retain a 30% stake overall.
Sellers advisor for due diligence services was EY. Legal advisor to Namirial was the Ceccarelli and Silvestri law firm, while Gattai Minoli Agostinelli and partners advised Ambienta. On the business and accounting due diligence level the fund was supported by Bain and Kpmg. In 2018 the dossier had already been under study by other funds, including Marlin Equity Partners and Clessidra. At that time the financial advisor in charge had been Klecha but the operation had not ended.
Founded in 2000 in Senigallia (Ancona), Namirial specializes in IT services, the company is at the same time a manufacturer of software solutions and certification authorities, which provides digital trust services such as electronic signatures, certified e-mails, electronic invoicing. and long-term digital archiving. It boasts more than one million customers, including individuals, governments and companies. Today it has over 430 employees in 20 locations. The youngest branch is Namirial Germany, founded in 2018. Last October 2019 Namirial announced the acquisition of a stake and a related commercial alliance with Serban Biometrics, a leader in biometric solutions in Spain and Latin America (see the press release here ).
In 2018, the company achieved net revenues of 46.5 million euros and an ebitda of 7.83 million against a positive net financial position of 882 thousand euros (see Leanus analysis here)
With offices in Milan, Düsseldorf and London, Ambienta specializes in investments in companies that are characterized by environmental sustainability, efficient use of resources and pollution control. He is currently investing through the Ambienta III fund.
