Campus srl, a Parma-based global company operating in the specialty food ingredients industry with 35 million euros of revenues, announced the completion of White Bridge Investments spa entry the company’s capital.
Led by Marco Pinciroli and Stefano Devescovi, Whithe Bridge will acquire a majority stake in Campus, while Campus’s founder Giampaolo Cagnin will reinvest in White Bridge (see here the press release).
“The international network and experience of White Bridge will bring new opportunities to Campus and we all look forward to a strong long-term relationship, strengthened by my recent investment into White Bridge share capital”, Cagnin said. The manager will still be fully devoted to new products and technologies development in Campus while the compny will still be led by the actual management team.
The deal has been financed by Banca Popolare di Milano (arranger ) and Cariparma Crédit Agricole, who where supported by Simmons&Simmons law firm as for the legal issues.
In the deal Campus was assisted by Villa&Partners law firma and studio di commercialisti associati AGFM as financial advisor. White Bridge was advised by the law firm Giovannelli e Associati for the legal due diligence, investment agreement drafting and negotiations and financing contracts negotiation; by the tax firm Ludovici&Partners for the tax due diligence and the transaction structuring; by Deloitte Financial Advisory for the financial due diligence; by PriceWaterhouseCoopers for the business due diligence and the strategic review; and by Vitale&Co as M&A and financing advisor.
The new shareholder will foster Campus’ growth in international markets (also through acquisitions), enhance the organizational and commercial structure. The company, which has constantly reported increasing revenue since its foundation, is confirming the positive trend in the current year: in the first quarter of 2015, Campus reported a revenue growth of over 30% compared to the same period in 2014.
