Peninsula Capital invested in Italian jewels maker Mattioli through the subscription to a 25.1 million euros (see here the notes of the shareholders meeting of 22 February, Thursday, available for the subscribers to BeBeez News Premium and BeBeez Private Data) (see here a previous post by BeBeez). Banca Akros and Gianni & Origoni assisted the Mattioli Family while Banca Finint and Cleary Gottlieb advised Peninsula Capital. Licia Mattioli is ceo of the company which has sales of 105 million, an ebitda of 11.5 million and a net financial debt of 12 million.
Permira‘s fashion firm Gruppo Florence is going to buy Star New Generation (SNG), a competitor that belongs to Star Capital (70%) and the Marzioni Family (see here a previous post by BeBeez). Star Capital and the Marzioni Family signed a three-years non-competition agreement with the buyers. Florence has sales of above 840 million euros.
Club deal Cronos Capital Partners, a holding that Alessandro Besana and Lorenzo Bovo created, said it acquired the majority of Ksenia Security, a provider of Smart Home access control services (see here a previous post by BeBeez). The target’s co-founder Giorgio Finaurini will act as ceo and reinvest in the deal while Raffaele Di Crosta will act as chairman. Ethica Group, Deloitte, PedersoliGattai, RMU Tax Lex, OC&C, Sky Lex Milano, and Bilma assisted the buyers. Pietrostefani Corporate Advisors and Simmons & Simmons advised Ksenia which has sales of 11.5 million euros, an ebitda of 1.9 million and a net financial debt of 1.5 million. Cronos Capital aims to grow the asset through further acquisitions.
German special situation investor FairCap acquired Electro System from Novomatic Italia, a subsidiary of AUstrian gaming technology company Novomatic (see here a previous post by BeBeez). FairCap retained LCA Studio Legale. Cavour Corporate Finance assisted Novomatic which has sales of 6 million euros, an ebitda of 0.212 million and a net financial debt of 0.210 million. Andrea Zannini is the Italian head of m&a of Novomatic Italia. FairCap also reportedly acquired Swedish agricultural ploughs Överum from CNH Industrial and rebranded it as Overum AB.
Pioneer Infrastructure Partners (PIP a vehicle compliant with article 9 EU SFDR) said it acquired Simet Soluzioni Energetiche, an energy efficiency company, from Gruppo Enercom, an Italian utility (see here a previous post by BeBeez). PIP has resources of 575 million euros. Enercom belongs to Cristina Crotti and Maria Luisa Crotti and has sales of 377.2 million, an ebitda of 9.6 million and a net financial debt of 20.4 million. Gianni & Origoni assisted PIP. Enercom retained CDR Tax & Legal. Simet has sales of 29 million, an ebitda of 4.2 million and a net financial debt of 15.2 million.
IFM Investors raised to 49% its stake in San Quirico Renewables (SQR), the Garrone and Mondini Familes‘ vehicle that owns 62.5% of ERG the Italian renewable energy company (see here a previous post by BeBeez). San Quirico exercised the put option that previously signed with IFM. SQR has an adjusted ebitda of 520 million euros.
Smart Capital, a private equity and private investments in public equity (PIPE) company, and VSL Club, a club deal platform for the maritime sector, said that they will act as cornerstone investors for a relevant minority of Next Geosolutions Europe (NGE), a Naples-based provider of geoscience services for offshore plants (see here a previous post by BeBeez). Marnavi will keep a 70.5% of the target. Sources said to BeBeez that Smart Capital and VSL Club will pour 15 million in a capital increase of NGE which aims to grow through acquisitions.
Apheon (fka Ergon Capital Partners) sold 66% of IPE, the ownwer of design brand Visionnaire, to FARO Alternative Investments Sicav RAIF (see here a previous post by BeBeez). Forel, a firm that Mario Gardini and Marco Bizzarri head, advise the Fashion, Luxury & Designe unit of FARO. The remaining of Visionnaire belongs to Leopoldo Cavalli (16.89%), Eleonore Cavalli (1.55%), Daniele Selleri (4%), and Altro Partners (12%). Apheon acquired the majority of IPE in 2014 and retained Lazard as sale advisor. IPE has sales of 45.6 million euros, an ebitda of 8 million and net cash of 2.5 million.
Diagram, an agritech company that Nextalia Private Equity acquired in 2022 for 50 million euros, aims to grow through European acquisitions, ceo Roberto Mancini said (see here a previous post by BeBeez).
Maurizio Bianco signed a joint venture with Amgest, a Swiss Private Banking boutique that Massimo Vecchio and Giovanna Voltolina created, and launched integritam, a mid-market private equity and club deal vehicle(see here a previous post by BeBeez).

Alessandro Soprano joined KPMG as partner for the corporate finance team that Silvano Lenoci heads (see here a previous post by BeBeez). Soprano will co-head the M&A practice for Consumer, Industrial Markets and Tech sector. The banker previously worked as manging director for Houlihan Lokey, as Italy’s co-head for GCA Altium and started his career at KPMG.
Milano Investment Partners, an alternative asset manager that Paolo Gualdani and Angelo Moratti created, appointed Gianluca Gorlani as ceo (see here a previous post by BeBeez). Gorlani previosuly worked as Private Banker for Mediobanca and as managing director Head of EMEA International Equity Sales for JPMorgan.
