BeBeez Private Data, the private capital database BeBeez, filed 35 clube deal transaction in 2023, 22 for 2022 and 23 for 2021. The auction for the sale of Beautynova Group, an Italian haircare company that belongs to BlueGem, is gaining momentum as the asset attracted the interest of PAI Partners and Seven2 (fka Apax Partners France) (see here a previous post by BeBeez). Since the company has sales 130 million euros and an ebitda of 30 million, the transaction could be worth slightly above 200 million, press reports said. In 2022, BlueGem hired Houlihan Lokey, Latham & Watkins and PwC for appraising offers for Beautynova of which chairman and ceo Stefano Banfo has 1.52%.
Capvis is mulling for the sale of Italian swimwear firm Arena, an asset that acquired in 2014 from Riverside (95%) and the ceo Cristiano Portas (5%) (see here a previous post by BeBeez). Houlihan Lokey is sounding the interest of potential buyers on behalf of Capvis. Arena has sales of 141.8 million euros, a 31.7 million ebitda, net financial debts of 49.6 million, and equity of 65.2 million.
Gruppo Ocmis, an Italian producer of advanced irrigation systems that belongs to Nasdaq-listed Carlyle since August 2022, acquired Irrimec, Otech and RKD (see here a previous post by BeBeez). After such deals, the fund created Gruppo Farmfront, a player with sales of 200 million euros that is interested in further acquisitions.
Sun European Partners signed a binding agreement for selling Vetrerie Riunite and Borromini (part of Vetrerie Riunite Group, an Italian producer of glass components for the home appliance, ceramics and automotive sectors that the fund acquired in 2019 for 110 million) (see here a previous post by BeBeez). Teak Capital and Tangor Capital acquired the assets. Sun European Partners kept Novaref, a producer of components for the ceramics and construction industry and retained Rothschild, EY, Giliberti Triscornia e Associati, and Weil, Gotshal & Manges. Teak Capital and Tangor Capital hired EY and Morais Leitão & Associados. In 2019, Vetrerie Riunite attracted the interest of Vam Investments, Opengate Capital and Abbeydale Partners that tried to acquire the asset from Opera and Style Capital (fka Dgpa), which acquired the business in 2008 for 112.5 million.
Public Investment Fund (PIF) signed a joint venture with Pirelli for building a tyres manufacturing plant in Saudi Arabia (see here a previous post by BeBeez). PIF will have 75% of the joint venture that is worth 550 million US Dollars.
SAIT, an Italian producer of components for steam generators and industrial burners, posted losses of above 0.4 million euros in 2022 a written off more than 75% of its equity (see here a previous post by BeBeez). The company launched a 0.24 million capital increase that C Capital, a subsidiary of Ibisco Investments, subscribed raising its 70% stake to 95%. Cristina, Stefano Masneri and Fabio Pedercini will own a total of 5% of the company in even parts. SAIT received assistance from Studio legale Pederzoli & Sambin and Studio M&M Consulting.
Alfasigma, an Italian pharmaceutical company, said it signed a letter of intents for acquiring the Jyseleca project from Galapagos, a biotech firm listed on Nasdaq and on Amsterdam exchange (see here a previous post by BeBeez). Chiomenti assisted Alfasigma which paid a first instalment of 50 million euros out of total 120 million and two-digit royalties for the products sales in Europe. On the other hand, Galapagos will pay up to 40 million to Alfasigma by June 2025 for the development activities of Jyseleca.
Spain’s Equipe Cerámicas, a company that Italcer acquired in March 2021, acquired 20% of Opificio Ceramico and signed a call option for purchasing a majority stake(see here a previous post by BeBeez). Italcer belongs to Mindful Capital Partners. Equipe Ceramicas retained Pinsent Masons while Studio Legale Salardi di Modena and Studio+Com assisted Opificio Ceramico. After such an acquisition, Italcer will have sales of 400 million euros.
Bernoni Grant Thornton, an Italian member firm of Grant Thornton International, acquired Syslab, an IT consultancy firm (see here a previous post by BeBeez). Mario Gregori is the ceo and co-founder of Syslab.
Europa Investimenti, an advisor of Arrow‘s Italian funds, appointed Maria Giulia Vitullo as director of real estate portfolio company Sansedoni Siena and Arrow Global Italia, the Italian holding italiana of UK Arrow Global Group (see here a previous post by BeBeez). Marco Grimaldi is the chairman of Europa Investimenti and Sansedoni and also the ceo of Arrow Global Italia.
